1.2 By registering to the platform, users understand that they are entering into a contractual relationship for the term of their registration with Stillpoint Spaces and are thus bound by this ToS and PP.
1.3 Stillpoint Spaces provides services according to description in section 3 in a software as a service model. To use the platform users have to be individuals of legal age to form a binding contract. See section 4.b.
1.5 Stillpoint Spaces reserves the right to amend or add to the ToS and PP at any time and at its sole discretion. Stillpoint Spaces may inform users about amendments or additions; however, it is the responsibility of the user to review the ToS from time to time.
1.7 Stillpoint Spaces may expand scope of the the service. Those additions will be subject to the terms and conditions described here.
1.8 Stillpoint Spaces does not supervise the Counsellors and Coaches using the platform
1.9 All Counsellors and Coaches represent that they have training or other appropriate qualifications to provide Counselling or coaching. Counsellors and Coaches apply by application to Stillpoint Spaces, however Stillpoint Spaces is not responsible for credentialing providers and makes no representation or warranty regarding the accuracy of any Counsellor or Coach credentials. We highly recommend Clients separately confirm that a Counsellor or Coach is in good standing with his/her accrediting or registering body.
2.1 Account – A login and password is created by the user upon registration to the service. There are three types of accounts - client accounts for users seeking counselling or coaching and counsellor and coach accounts for users that are counselling or coaching providers.
2.2 Account Activation - this is an event after which the user is able to use full service functionality, depending on the account type selected upon registration.
2.3 Client - user seeking and receiving the counselling.
2.4 Counsellor - user providing the counselling for the clients.
2.5 Coach – user providing coaching for clients.
2.6 Counselling - this includes, but it not limited to, psychological and social counselling, analysis, psychoanalysis, therapy and/or psychotherapy depending on, and restricted to, the qualification and licensure requirements that legally pertain to individual Counsellors in their actual physical location. Counselling can be conducted in-person or through the platform.
2.7 Coaching – this includes but is not limited to the provision of life or executive coaching depending on, and restricted to, the qualification and licensure requirements that legally pertain to individual Coaches in their actual physical location. Coaching can be conducted in-person or through the platform.
2.8 Counsellor or Coaching profile - individual profile displayed in one or more of directory presenting counsellor or coach user and their offer.
2.9 Customer - user paying Stillpoint Spaces for services. Counsellors and Coaches are customers, clients are not.
2.10 Minor - A person under the age at which they have the legal capacity to enter into a contract in their jurisdiction.
2.11 Platform - our website, counsellor or coach profile, and services, which include teleconferencing sessions, messaging, billing, and scheduling.
2.13 Registration - process of creating the account and accepting the contract by the user.
2.14 Session - a period of time when Counselling or coaching is provided
2.15 Service fee - payments owed to Stillpoint Spaces, those include monthly fee according to selected Subscription Plan.
2.16 Session fee - the fee a Counsellor or Coach chooses to bill per session of Counselling or coaching.
2.17 Subscription Plan - the agreement to pay a monthly fee access to the Platform
2.18 User - any person browsing our website and/or utilizing our Services
3.1 Stillpoint Spaces shall provide its services to the users to the extent it deems appropriate to the following terms of service, according to selected user account type and booked Subscription Plan.
3.2 Services offered by the platform include:
3.2.1 counsellor or coach profile in Stillpoint Spaces directory.
3.2.2 tele-communication and messaging between clients and counsellors or coaches.
3.2.3 session scheduling and schedule notification system.
3.2.4 billing and payment.
3.2.5 other services related to and education in psychology, psychoanalysis, and culture.
3.3 Stillpoint Spaces does not provide and our Services do not include mental health care or professional services related to medical care. We are a technology platform whereby counsellors and coaches can provide counselling and/or coaching to clients.
3.4 Counsellors or Coaches providing services on the website shall not be deemed or assumed to be employees or agents of Stillpoint Spaces, or associated with Stillpoint Spaces in any way. Each provider is required to obtain the clients informed consent before counselling or coaching.
3.5 All providers available at Stillpoint Spaces represent that they have degrees and/or other appropriate qualifications in the areas in which they state in their profile. Stillpoint Spaces attempts to verify credentials; however, Stillpoint is not responsible for credentialing counsellors and/or verifying that they are, or remain, in good standing with their boards.
3.6 The information contained on this site is not and should not be considered medical advice.
3.7 Stillpoint Spaces does not endorse any counsellors or coaches nor any methods or actions that may be found on this site, All counsellors and coaches are bound to Stillpoint Spaces’ ethics guidelines, but Stillpoint Spaces is not liable to any client for the failure counsellors to adhere to their or our ethical guidelines. It is the responsibility of the client to verify the competency of counsellors or coaches. Any misconduct should be reported in the first instance to the client’s counsellor or coach. If the client is unable to do so, or the counsellor or coach is unresponsive, then the client may write to email@example.com for further advice.
3.8 Stillpoint Spaces is committed to constantly improving and updating its services. If this process requires technical changes to the services, Stillpoint Spaces shall notify users of this in advance and shall provide them with all the necessary information regarding any technical adjustments required on their side.
3.9 Neither Stillpoint Spaces nor its suppliers and licensors makes any warranty that the Service will be error free or that access thereto will be continuous or uninterrupted.
4.1 Users have to register to fully use the service. Registration is free of charge.
4.2 To register, Users have to be individuals of legal age to form a binding contract. Account sharing is prohibited and may be a reason for immediate service termination, the only exception being client account sharing for the purposes of family or couple counselling.
4.4 Upon registration a user should select appropriate account type. The user will choose a Client account if the user is looking for counselling or coaching and a counsellor or coach account if the user is providing counselling or coaching. Check section 6 for client users and section 7 for counsellor/coach users respectively.
4.5 Upon registration, users will be subscribed to receive service related communications (system announcements, updates, new features and tutorials). Users are free to unsubscribe.
4.6 A User may have no more than one client, counsellor or coach account. Possessing multiple accounts (e.g. more than one client account) is prohibited and may be a reason for immediate service termination.
4.7 Upon registration, user shall provide all required data. In case of counsellor accounts this information will be verified by Stillpoint Spaces. Not subjecting to data verification will result in immediate account termination.
5.1 Clients are users seeking counselling or coaching.
5.2 To register a client account, the user has to fulfill all the requirements stated in section 4.
5.3 Client account registration is free of charge. Stillpoint Spaces never directly charges clients. All charges or fees are levied by counsellors or coaches providing services.
5.4 Upon registration a client is advised to provide truthful information about themselves to their counsellor or coach.
5.5 Client account is activated after email confirmation.
5.6 Clients can select whichever counsellor or coach they like and contact them using the platform. Counsellors and coaches retain discretion on whether or not they accept clients.
5.7 As stated in section 1.i Stillpoint attempts to confirm the credentials of the all Counsellors upon their registration, yet is not responsible to credentialing providers or verifying current standing with their boards. In addition to notifying appropriate licensing boards, Any misconduct should be reported in the first instance to the client’s counsellor or coach. If the client is unable to do so, or the counsellor or coach is unresponsive, then the client may write to firstname.lastname@example.org for further advice.
5.8 Clients who wish to book a counselling session should contact their counsellor or coach of choice after which they will agree together the session details like appointment date, session time, and fee. The counsellor or coach will then send an invitation via the platform for a session.
5.9 Counselling/coaching session fees, and terms and conditions for payment and cancellation area set by the counsellor or coach.
5.10 Clients shall hold the Service Provider harmless for any and all events occurring outside the Platform.
5.11 All payments made through our platform are processed by trusted outside provider and compliant with PCI standards.
5.12 Clients have the right to terminate their account at any time, except when they have pending session fees owed to counsellor. This can be done using appropriate option in account settings or by contacting email@example.com.
6.1 Counsellors and Coaches are users providing counselling or coaching.
6.2 To register a counsellor or coach account, the user has to fulfil all the requirements listed in section 4. In addition to those, counsellors and coaches must submit to a verification process.
6.3 Counsellors and Coaches are obliged to agree to the Stillpoint Spaces ethical guidelines.
6.4 Upon registration counsellors and coaches are obliged to provide truthful information.
6.5 During the verification process applicants will be asked to provide the following:
6.5.1 Licenses, diplomas and other certifications to confirm that applicant is a trained professional eligible to provide counselling or coaching.
6.5.2 Valid accreditation or registration with a recognised professional body with a code of professional ethical conduct and a complaints procedure.
6.5.3 Proof of liability insurance.
6.5.4 Other documents that may be required to verify the credentials on case by case basis.
6.6 Acceptance is at Stillpoint Spaces’ discretion. Also, failure to provide any of the above may result in dismissing the applicant and account removal. Stillpoint Spaces reserves the right ot spot check counsellors and coaches for documents pertaining to their registration or insurance. Counsellors and coaches must make Stillpoint Spaces aware if there is a change or lapse in their professional accreditation, if a complaint has been made against them, or if they not longer have liability insurance.
6.7 Counsellor and coach accounts are activated after the verification process is complete and counsellor or coach profile page is published.
6.8 To fully use the service, upon registration counsellor or coach will be asked to sign up to Stripe – this is the payment service used to process all platform transactions, both service payments and counsellor session fees. To do so, counsellor is required to have the bank account in one of the countries serviced by Stripe.
6.9 As part of registration process the counsellor or coach will be provided with a profile page that is displayed in the Stillpoint Spaces counsellor or coach directory. All profiles will be displayed in the international directory, unless counsellor requests otherwise. In addition, enhanced profiles of the counsellors or coaches that are affiliated with one or more of the partner Spaces will be displayed . Before the initial publication Stillpoint Spaces will review the profile page and check if it is in accordance with our ToS.
6.10 The counsellor or coach guarantees that content published on the profile page is owned by the counsellor and legally harmless - contains no personal data of other people, is malware-free, for which the counsellor is liable according to general laws. In particular, the counsellor shall not upload any content that is contrary to applicable laws or that is illegal, offensive, insulting, threatening, racist, or sexually offensive, or any content that glorifies violence, injures religious feelings, disparages politically dissimilar thinking, morally endangers children or adolescents, or adversely affects their well-being.
6.11 Stillpoint Spaces reserves the right to end service with a counsellor or coach at any time.
6.12 Stillpoint Spaces reserves the right for occasional reviews of counsellor profile pages and taking them down if they break this ToS or general laws..
6.13 Session fees shall be set individually by each counsellor or coach. The counsellors may modify this fee over time at their own discretion.
6.14 Stillpoint Spaces is not responsible for enforcing payments from clients nor has means to do so.
6.15 It is the Counsellor's sole responsibility to work within the laws of the jurisdiction in which they practice and ensure that they are covered both legally and by their insurance to work with clients over the MyStillpoint platform in whatever jurisdiction their client happens to be.
6.16 It is the sole responsibility of the Counsellor to provide proper invoice at clients request and include in the session fee and pay all the taxes required by law.
6.17 Counsellors and coaches have the right to terminate their account at any time, except when they have pending service payments owed to Stillpoint Spaces or scheduled sessions that were already paid by the clients. In that case the service payments has to be paid and session fees has to be refunded before the account can be removed. Account can be removed by using appropriate option in the account settings or by contacting firstname.lastname@example.org
6.18 Counsellors or coaches must not represent themselves as “Stillpoint Counsellors/Coaches” or as a Stillpoint Spaces representative or employee in any communication within or outside of the platform, nor should the Stillpoint Spaces logo be used in any promotional material, including email signatures, business cards, and letterhead.
7.1 For Client users:
a. Stillpoint Spaces is free for the Client users. Stillpoint never charges them directly.
b. All the fees charged using MyStillpoint payment system are at the Counsellors’ discretion and are payable directly to them. It is the Counsellor’s responsibility to charge, track, and report any VAT that may be owed for the service provided through the platform.
c. Disputes concerning payment and/or quality of service delivery shall be taken up with the Counsellor or Coach directly.
7.2 For Counsellor/Coach users:
a. All users authorise Stillpoint Spaces to automatically charge all applicable fees to the credit card provided at subscription.
b. Counsellor users are charged monthly or annually in advance in accordance to their selected Subscription Plan.
c. The Subscription Plan will automatically renew unless cancelled according to our cancellation policies.
d. The first billing period starts after the account is activated and Counsellor/Coach completes the subscription form.
e. If the automatic renewal of the Subscription Plan is not possible, for whatever reason, the service will be suspended and the profile page will be unpublished until the payment is made.
7.3 Counsellor and Coach users taking payments via MyStillpoint payment system will refer to Stripe Customer Service directly for any issues relating to payments and refunds. Stillpoint Spaces is not an intermediary for online payments.
7.4 Stillpoint Spaces reserves the right to adjust the nature of its services and adjust the pricing of its Subscription Plans from time to time.
8.1 Stillpoint Spaces does not provide refunds on either monthly or annual Subscription Plans. See cancellation policy for details.
8.2 Clients are encouraged to discuss requests for refunds directly with their Counsellor/Coach. It is at the Counsellor’s or Coach’s discretion to determine when a session fee should be refunded to a Client.
9.1 A Counselling or Coaching user who wishes to terminate their agreement with Stillpoint Spaces may do so by contacting us via email@example.com at least 5 working days before the next bill date. The Subscription Plan will be cancelled within 5 working days, which will result in the removal of the account.
9.2 Stillpoint Spaces may terminate user access to all or any part of the service including account removal at any time, with or without notice, effective immediately for breaching regulations stated in this Terms of Service in particular section 5.
9.3 Stillpoint Spaces may terminate user access to all or any part of the service, including account removal, at any time, with the 14 days before notice, without cause.
9.4 All provisions of this agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
10.1 Stillpoint Spaces Zurich Gmbh are the sole owners or licensors of all intellectual property on the Platform, in particular the copyright, trademarks and database, incorporated in the Platform.
10.2 Stillpoint Spaces does not grant any license or sub-license of such intellectual property to the users and shall retain all ownership or rights to it. As a consequence, the users shall not make use of the intellectual property in any way outside the functions of the platform, in particular (but without limitation) by using or adapting the intellectual property for their own commercial or professional gain.
11.1 Stillpoint Spaces will aim to make the Platform’s services available with the best possible quality. At the same time, the User recognizes as part of the description of Stillpoint Spaces’ services that Stillpoint Spaces has the means to verify the personal data and other information submitted by the Counsellors; the Platform will not be performed error-free or uninterrupted at all times and that Stillpoint Spaces may not be able to immediately correct all service errors.
11.2 Any liability shall be excluded in the event of failure of communication networks, gateways, force majeur or other events outside the control and responsibility of Stillpoint Spaces. Likewise, any liability shall be excluded in case of unlawful or unallowed access by third parties to the Platform or the counselling process by means of hacking or similar means.
11.3 Stillpoint Spaces will only be liable in an amount up to the fees it has charged the impacted User for damages for other than the above-mentioned reasons only in case of intent or gross negligence by its managers, officers, employees or agents and only in the proportion such behavior has caused the damage in relation to other causes. This limitation does not apply in case of a violation of cardinal duties, i.e. duties the fulfillment of which the Clients may justly expect. No loss of profits shall be recoverable. The restrictions of liability do not apply to cases of damages to life, body, or health, to cases of warranting for the condition of a product, and to cases of fraudulent concealment of defects of Stillpoint Spaces, its legal representatives or assistants in performance.
12.1 This ToU shall be governed by the laws of Swiss Confederation.
12.2 Place of jurisdiction shall be – as far as validly determinable – Zürich, Switzerland.
12.3 Should individual provisions of the ToU be invalid or unenforceable, all other provisions of the ToU shall remain unaffected.
12.4 The contract language is English.

Log File Information: Log file information is automatically reported by your browser each time you access our website or the Platform. For example, when you access our websites, our servers automatically record certain information that your web browser sends whenever you visit any website. These server logs may include information such as your operating system, browser type, referring / exit pages and URLs, number of clicks, domain names, landing pages, pages viewed and other such information. Some of this information is processed by services used to track errors and Service performance. We do not link this automatically-collected data to personally identifiable information and we use this information only for the purpose of providing and maintaining the Service.
Under the General Data Protection Regulation (GDPR), the lawful bases we rely on for processing this information are:
(a) Your consent. You are able to remove your consent at any time. You can do this by contacting email@example.com.

What Happens In The Event Of A Change Of Control: We may buy or sell/divest/transfer the company (including any shares in the company), or any combination of its products, services, assets and/or businesses, including the Platform. Your information, such as name, email addresses, and other user information related to Stillpoint Spaces may be among the items sold or otherwise transferred in these types of transactions. We may also sell, assign or otherwise transfer such information in the course of corporate divestitures, mergers, acquisitions, bankruptcies, dissolutions, reorganizations, liquidations, similar transactions or proceedings involving all or a portion of the company. You will be notified via email and/or a prominent notice on our websites via a Service announcement of any change in ownership or uses of your personal information, as well as any choices you may have regarding your personal information.

Behavioral Targeting / Re-Targeting: We may use third parties to display Service and other Stillpoint Spaces products advertising on our websites and manage our advertising on other sites, not owned by Stillpoint Spaces or its Partners. Stillpoint Spaces is concerned with protecting your privacy and data, we use industry standard physical, technical and/or managerial safeguards. When you enter sensitive information (such as login credentials) on our registration or order forms, we encrypt that information using secure socket layer technology (SSL). No method of transmission over the Internet or method of electronic storage, is 100% secure, however. If you have any questions about security on our Site, you can contact us at firstname.lastname@example.org. We use an outside help platform, and a credit card processing company to bill you for purchased services. These companies do not retain, share, store or use personally identifiable information for any other purposes.
For current Service customers, you can review, correct, update or delete inaccuracies to the information about you that Stillpoint Spaces keeps on file by logging into your account to update your password and billing information. Alternately (for former Service customers), you can contact us directly at email@example.com. We will acknowledge your request within 14 working days and handle it promptly and as required by law. We will retain your information for as long as your account is active or as needed to provide you services. We will retain and use your information as necessary to comply with our legal obligations, resolve disputes and enforce our agreements.
EU Data Protection Directive 95/46/EC and GDPR: Stillpoint Spaces makes every effort to follow EU Data Protection Directive 95/46/EC and General Data Protection Regulation. The same is required from our Partners. In addition we check carefully, if our service providers also follow those regulations.
Compromise of Personal Information: In the event that personal information is compromised as a breach of security, Stillpoint Spaces will promptly notify our customers in compliance with applicable law. This will be done by Service system announcement and by email.
Children’s Privacy: Protecting the privacy of young children is especially important. For that reason, Stillpoint Spaces does not knowingly collect or solicit personal information from anyone under the age of 13. In the event that we learn that we have collected personal information from a child under age 13, we will delete that information as quickly as possible. Service providers we or our partners use: Below is a list of service providers used by Stillpoint Spaces or its Partners to provide the Service. Each service provider is verified to be following GDPR regulations before being utilized by Stillpoint Spaces. - Heroku - is a cloud platform used by Stillpoint Spaces for Service deployment. Heroku is owned by Salesforce.
- Amazon Web Services (AWS) - is a cloud platform used by Stillpoint Spaces for storing pictures relevant for the Platform.
- Stripe - is a service used by the Stillpoint Spaces Platform to process payments. Stripe is compliant with PCI (Payment Card Industry) Service Provider Level 1.
- OpenTok - is a secure, encrypted, direct audio-video communication technology used by the Platform. OpenTok is owned by TokBox.
- Postmark - is a service used by the Stillpoint Spaces Platform to support messaging system on the platform.

The Counsellors and Coaches at Stillpoint Spaces are bound by the ethical policies of their respective professional bodies alongside the legal requirements of the jurisdiction in which they are physically located. We strongly encourage clients to familiarise themselves with their counsellor or coach’s professional body where they can find the precise details of its ethical standards and complaints procedure.
As an additional precondition for counsellors and coaches working at Stillpoint Spaces and via our platform, we ask them to agree to abide by the following overarching principles which are consistent with various professional codes around the world.
1. To respect the inherent dignity and autonomy of their clients and to listen to their concerns without judgement.
2. To work in favour of your client’s best interest and avoid doing any harm.
3. To provide services without regard to age, gender, ethnicity, race, religion, sexual orientation, disability or socioeconomic status.
4. To work within one’s professional competency.
5. To maintain the client’s trust and keep all information concerning a client in the strictest professional confidence.
- Any notes or records of sessions, whether handwritten or electronic, must be securely stored with reference to the General Data Protection Regulation (GDPR) in Europe or equivalent professional or national standard wherever you practice.
- While session material may be discussed in the context of professional consulting, supervision, or education, the client’s identity must never be revealed or derivable from the information discussed, either during or following the counselling relationship.
- Confidentiality may be contravened if required to do so by a court of law, or if it is evident that the client may be of harm to themselves or others: the counsellor or coach must be clear with their client about this limit to confidentiality.
6. To maintain boundaries in the counselling relationship in order to ensure that the client is not exploited in any way by the counsellor or coach, whether sexually, financially, or otherwise.
7. To recommend that clients seek medical or psychiatric evaluation locally if they appear to need treatment for a mental disorder beyond the scope or capacity of a counsellor’s training or licensure.
8. That counsellors and coaches should be receptive to their clients’ complaints and deal with them directly with their client. If the client remains unsatisfied the counsellor or coach should direct their client to their professional body so they can engage that body’s complaints procedure.
It is imperative to Stillpoint Spaces that professional relationships are bound by the highest ethical standards. If you have a question or concern regarding the ethics of any experience at Stillpoint Spaces please raise them in the first instance with hour counsellor or coach. If you feel you cannot do so, or if you feel their response was not adequate, you can raise an official complaint via the complaints procedure of their professional body. Should you need further advice, or the details of your professional body, you may raise them with Stillpoint Spaces’ Ethics Committee by sending your concern to firstname.lastname@example.org.
